Terms of Service

These Terms apply to Tenants (registered business users). End customers who scan QR codes are covered under our Privacy Policy.

Welcome to Victo Grow. These Terms of Service ("Terms") form a legally binding agreement between you ("Tenant", "you") and Victo Grow ("we", "us", "our") governing your use of our platform, which provides QR code campaigns, digital business cards, lead capture, loyalty programmes, and related services. By creating an account, you agree to these Terms in full.

1. Account Registration

  • You must provide accurate, current, and complete information during registration and keep it updated.
  • You must be at least 18 years old and legally able to enter into contracts under Indian law.
  • You are solely responsible for maintaining the confidentiality of your login credentials (OTP, phone number) and for all activities that occur under your account.
  • You must notify us immediately at support@victoapp.com if you suspect unauthorised access to your account.
  • One business entity may register only one primary account unless you have obtained prior written approval from us.

2. Service Plans, Billing & Cancellation

We offer Free, Basic, and Premium service tiers. Key billing terms:

  • Plan features and monthly limits (including lead capture limits of 50 / 1,000 / 10,000 per month) are detailed on our Pricing page, which is incorporated into these Terms by reference.
  • Payment: Paid plans are billed in advance (monthly or annually). Payments are processed by Razorpay, a PCI-DSS compliant gateway. We do not store your card or UPI credentials.
  • Auto-renewal: Paid plans auto-renew at the end of each billing period unless cancelled.
  • Cancellation: You may cancel your paid plan at any time from your account settings. Access continues until the end of the current paid period; no partial-period refunds are issued.
  • Refunds: Refunds are issued at our discretion only where there is a demonstrable service failure attributable to us (e.g., extended platform outage). Requests must be submitted within 7 days of the charge via support@victoapp.com.
  • Free plan: The Free plan may be modified, limited, or discontinued at any time with 30 days' notice.
  • Price changes: We will provide at least 30 days' notice before increasing the price of any paid plan.

3. Acceptable Use

You agree to use Victo Grow only for lawful, legitimate business purposes. You must not:

  • Use the platform for any unlawful, fraudulent, abusive, harassing, defamatory, or deceptive purpose.
  • Collect customer data without adequate notice and, where required, consent under the DPDP Act.
  • Attempt to reverse-engineer, scrape, or exploit the platform or its underlying code.
  • Exceed your plan's stated limits using automated means or by creating multiple accounts.
  • Upload or transmit malicious code, spam, or content that infringes third-party intellectual property rights.
  • Impersonate another business or individual through your QR codes or offer pages.

4. QR Codes, Lead Capture & Monthly Limits

  • Your plan includes a monthly limit on lead captures (customer submissions via your QR codes). Once the limit is reached in a calendar month, further submissions are acknowledged to the customer but not recorded, without error messages to the customer. The limit resets on the 1st of each month (UTC).
  • Dynamic QR codes (single-use) once claimed cannot be re-used. Victo Grow is not responsible for physical QR codes that have already been distributed.
  • You are responsible for the accuracy of offers, discount values, and reward amounts displayed on your offer pages. Victo Grow is not liable for disputes between you and your customers arising from offer terms.

5. Customer Communications & Opt-Out Obligations

When you use Victo Grow to contact customers via WhatsApp or SMS, you agree to:

  • Include the opt-out link in every commercial message sent to customers. The platform automatically appends this link when you compose messages through the dashboard contact modal.
  • Honour opt-out requests immediately. Once a customer opts out, you must not contact them via WhatsApp or SMS through the Victo Grow platform until the customer explicitly requests re-enablement. The platform enforces this automatically.
  • Comply with TRAI regulations governing unsolicited commercial communications, including the National Do Not Call (NDNC) registry requirements.
  • Send only relevant, lawful content — no spam, no misleading offers, no harassment.
  • You acknowledge that we may monitor message content to detect abuse, and we reserve the right to restrict messaging features if we detect violations.

6. Data Ownership, Privacy & Customer Data Obligations

  • You own your customer data. We store and process it on your behalf as a Data Processor under the DPDP Act. You are the Data Fiduciary responsible for compliance with DPDP obligations toward your customers.
  • You must provide a clear notice to customers on or before collecting their data, including the purpose of collection and their right to opt out.
  • Customer deletion requests: If a customer requests deletion of their data, you must action this within 30 days. You can delete individual leads from your dashboard, or contact us for bulk deletion assistance.
  • No unauthorised sharing: You must not export or transfer customer data collected through Victo Grow to third-party data brokers or advertising platforms without the customer's explicit consent.
  • Our full data handling practices are described in our Privacy Policy, which is an integral part of these Terms.

7. Feedback, Ratings & Reviews

Customer feedback, star ratings, and written comments collected through Victo Grow's feedback and review features are stored in your account and visible only to you (the Tenant) and authorised Victo Grow support staff. You must not publish, share, or use this feedback in any way that could identify or embarrass individual customers without their consent.

8. Intellectual Property

  • Victo Grow's property: The Victo Grow software, platform design, UI, branding, logo, and underlying code are our exclusive intellectual property. You receive a limited, non-exclusive, non-transferable licence to use the platform solely for the purpose of operating your business account.
  • Your content: You retain all rights to your business name, logo, offer content, and images that you upload. By uploading content, you grant us a limited licence to display it on your public offer pages and digital card.
  • Feedback to us: Any suggestions, bug reports, or feature ideas you submit to us may be used by us without restriction or compensation to you.

9. Account Suspension & Termination

  • We may suspend or restrict your account if you: breach these Terms; engage in illegal activity; harm other users or the platform; or if your paid plan expires and the account shows signs of misuse.
  • Non-payment: If a paid plan expires (payment not renewed), the account is automatically downgraded to the Free plan — not suspended. You retain access to your data and Free-tier features. If you wish to restore paid features, simply renew your plan.
  • We will provide at least 3 business days' written notice (email or WhatsApp) before suspension, except in cases of severe abuse, fraud, or legal requirements demanding immediate action.
  • Closing your account: You may request account closure at any time from the Settings page under "Danger Zone." On confirmation, your account is scheduled for permanent deletion after a 90-day grace period. During this period you may cancel the request by contacting support@victoapp.com. After the 90-day period, all data is permanently erased and cannot be recovered. Consent records are retained for 5 years as required by law.
  • Upon termination, you must cease use of the platform and any associated features. All licences granted under these Terms terminate immediately.

10. Service Availability & Force Majeure

  • Victo Grow is provided "as is" without any guarantee of uptime, availability, or fitness for a particular purpose. We aim to maintain high availability but do not provide a formal SLA.
  • We shall not be liable for service interruptions caused by events beyond our reasonable control, including but not limited to server infrastructure failures, internet disruptions, natural disasters, power outages, government actions, or third-party service failures (including Razorpay, Hostinger, or WhatsApp).
  • We will make reasonable efforts to communicate planned maintenance in advance.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Victo Grow's total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the 3 months preceding the claim.
  • We shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of revenue, data, goodwill, or business opportunities.
  • We are not responsible for disputes between you and your customers arising from your offer terms, redemptions, or communications.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the platform after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to the changes, you may close your account before the effective date.

13. Governing Law & Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of India.
  • In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiations for 30 days.
  • If not resolved, disputes shall be subject to the exclusive jurisdiction of the courts in Ernakulam, Kerala, India.
